Terms of Service - TranspoApp, LLC

Welcome to TranspoApp, operated by TranspoApp, LLC (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our mobile application, website located at https://transpoapp.com, and any related services provided by TranspoApp, LLC (collectively, the “Services”). By creating a TranspoApp account or using our Services, you agree to abide by these Terms and comply with all applicable laws and regulations. If you do not agree with these Terms, you are prohibited from using the Services.
Important Notice to Canadian Users: For residents of Canada, these Terms incorporate and are deemed to include all non-waivable rights and remedies provided under Canadian federal and provincial consumer-protection, privacy, tax, and transportation statutes. Where there is a direct conflict, those local laws control.
1. Acceptance of Terms
By accessing or using TranspoApp, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Services.
2. Eligibility
You represent and warrant that:
- You are at least 18 years old.
- You are physically located in either the United States or Canada at the time of using the Services.
- You are not located in a country subject to a U.S. or Canadian government embargo or that has been designated by either government as a "terrorist-supporting" country.
- You are not listed on any U.S. or Canadian government list of prohibited or restricted parties.
- You will use the Services in compliance with all applicable laws and regulations of your jurisdiction.
Note: TranspoApp is currently available only to users physically located within the United States and Canada. Additional regions may be supported in the future.
2A. Compliance With Canadian Law
- Privacy – PIPEDA. We collect, use, and disclose personal information in accordance with the Personal Information Protection and Electronic Documents Act and any substantially similar provincial laws. Canadian users have the right to access, correct, or withdraw consent for their personal data at any time.
- Commercial e-mail – CASL. We will not send you commercial electronic messages without the express or implied consent required by Canada’s Anti-Spam Legislation (S.C. 2010, c. 23). Every message will identify TranspoApp, provide a valid mailing address, and include an unsubscribe link.
- Sales Taxes. Subscription fees charged to Canadian users are exclusive of GST/HST/PST/QST. The correct tax will be added based on your billing province and remitted as required by the Canada Revenue Agency.
- Language Rights (Québec). A French-language version of these Terms is available upon request, in compliance with the Charter of the French Language (Québec).
- Transportation Licensing. If you provide chauffeur or limousine services in Canada, you must hold and maintain any local licence or permit required under municipal “vehicle-for-hire” by-laws (for example, Toronto By-law 546-2024 or Ottawa By-law 2016-272).
3. Account Creation and Registration
3.1 Methods of Registration
When you download and use TranspoApp, you may create an account through:
- Direct Registration: Providing your email address and creating a password via our registration system.
- Third-Party Authentication: Registering using your Apple or Google credentials.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. TranspoApp, LLC is not liable for losses resulting from unauthorized access or use of your account.
4. Subscription and Pricing
4.1 Free Trial
TranspoApp offers a free trial period for new users. The duration of this trial and the features available during the trial will be as advertised at registration or as listed on the Apple App Store or Google Play Store.
4.2 Subscription Fees
After the free trial period, a subscription fee is required for continued access to premium features. The applicable subscription fee and payment terms will be as listed on the Apple App Store or Google Play Store at the time of your subscription. TranspoApp reserves the right to modify subscription fees at its discretion. Any price changes will be communicated via the app and/or email. Continued use after such changes constitutes acceptance of the new terms.
4.2A Currency. Canadian App Store or Play Store listings will display prices in Canadian dollars (CAD). Where fees are shown in U.S. dollars, the exchange rate charged is set by Apple or Google at the time of purchase.
4.3 Payment Processing
All payments are processed through third-party platforms (e.g., Apple App Store, Google Play Store). By subscribing, you agree to comply with the respective platform’s payment terms and conditions.
4.4 Refund and Cancellation Policy
- You may cancel your subscription at any time through your App Store or Play Store account settings.
- Refund requests must adhere to the relevant platform’s policies. TranspoApp, LLC does not process refunds directly.
5. Features and Services
TranspoApp enables users to:
- Trip Management: Create and manage limousine trips, including personal and corporate bookings.
- Calendar View: View all scheduled trips in a calendar format for better planning.
- Confirmations and Receipts: Send detailed trip confirmations and receipts to clients.
- Waybill Compliance: Input and track waybill information for state and local regulations, including California’s TCP requirements.
- Integration with Gridd Technologies’ GNET: Access and manage trips provided by Gridd Technologies using their GNET platform.
- Custom Reporting: Download or email trip data and generate customized reports for tracking and analysis.
- Client Communication: Email trip updates and receipts directly to customers.
- Multi-Software Integration: Connect with over 40 limousine software systems via GNET for seamless data sharing.
- Trip Confirmation Terms: Customize trip confirmation terms to align with your business needs.
- Export Features: Download reports and trip data in various formats for recordkeeping or business use.
6. Partner Integrations and Trip Handling
TranspoApp enables seamless collaboration with both internal partners (other TranspoApp users) and external third-party platforms, including but not limited to Gridd Technologies and their GNET platform.
6.1 Linking Accounts
You may securely link your TranspoApp account with third-party platforms (e.g., GNET). Credentials are entered via a secure portal and are not stored by TranspoApp.
6.2 Sending and Receiving Trips
- Internal Partners on TranspoApp:
Assign trips, share trip details, and collaborate within the platform. - External Partners via GNET:
Facilitate trip data exchange with third-party platforms (e.g., Gridd Technologies’ GNET) for extended capabilities.
6.3 Liability Disclaimer
TranspoApp, LLC is not responsible for:
- The accuracy, timeliness, or delivery of trip data shared between internal partners or with external platforms.
- Disputes, errors, or operational issues (including scheduling conflicts or service quality) arising from trip data exchange.
- Payments for trips, which must be arranged directly between the involved users or partners.
6.4 Payment Responsibilities
TranspoApp does not process or mediate payments between users or partners. Users are solely responsible for handling payments and resolving payment-related disputes for trips, whether arranged with internal TranspoApp partners or external entities such as GNET.
6.5 Data Privacy and Handling
Users are responsible for complying with all applicable data privacy laws when managing and sharing trip data and client information, including personal and sensitive data. TranspoApp ensures secure integration with partners to protect user data.
7. Jurisdiction-Specific Provisions
7.1 California Residents
- CPUC TCP & CCPA Compliance:
- California residents can request access to or deletion of personal data by emailing contact@transpoapp.com.
- Trip documentation may require inclusion of carrier name, TCP number, license plate, driver name, and date/time of trip arrangement, as per California law.
7.2 New York Residents
TranspoApp adheres to New York transportation regulations requiring fare transparency and proper trip documentation.
7.3 Florida Residents
Users operating transportation services in Florida must comply with state-specific licensing and registration requirements.
7.4 Texas Residents
In the event of a data breach affecting Texas residents, TranspoApp will notify users as required by Texas law.
Users are solely responsible for complying with all local, state, and federal laws governing transportation services in their area.
7.5 Canada (federal and provincial)
- Driver/Carrier Records: Where a province requires electronic waybill or trip sheet retention (e.g., Ontario’s Vehicle-for-Hire By-law), TranspoApp provides templates but you remain responsible for completeness and accuracy.
- Insurance & Safety: You must meet the minimum automobile liability insurance and National Safety Code requirements applicable in your province.
- Québec Consumer Protection: Nothing in these Terms limits cancellation rights granted under the Consumer Protection Act (Québec), including the right to resolve disputes before the Office de la protection du consommateur.
8. Third-Party Integration with GNET
8.1 Linking and Creating GNET Accounts
You can now either link your existing Gridd Technologies’ GNET account or create a new one directly through our secure portal. If you choose to create a new account, you will be prompted to select a GNET ID and password. Additionally, your address, phone number, and business name—provided during the TranspoApp signup process—will be sent to GNET to facilitate the creation of your account.
8.2 Data Handling
- No Storage of Credentials: We do not store your GNET credentials.
- Account Linking: Whether linking an existing GNET account or creating a new one, your TranspoApp account is associated with your GNET ID. This integration ensures a seamless data exchange between TranspoApp and GNET while maintaining your data privacy and security.
9. Data Retention and Privacy
9.1 Data Retention
We retain all records of your trips, including confirmations and receipts, unless you request account deletion.

If you choose to delete your account, all associated data will be permanently removed from our systems upon your request. Click here for deletion process.
9.3 Data Loss Disclaimer
TranspoApp, LLC is not liable for any loss or corruption of trip data or other records, despite reasonable efforts to protect such data.
10. Automatic Updates
By using TranspoApp, you consent to automatic downloads and installations of updates on your device in accordance with your device’s privacy preferences. You can revoke this permission by deleting the app from your device.
11. Intellectual Property
All intellectual property rights in the materials within TranspoApp and on our website are owned by or licensed to TranspoApp, LLC. Downloading or using TranspoApp on your device grants you a personal, non-commercial license, not a transfer of title. This license automatically terminates if you violate any restrictions or these Terms, and may be revoked by TranspoApp, LLC at any time.
12. Limitations of Use
By using TranspoApp and our website, you warrant on behalf of yourself and any entity you represent that you will not:
- Modify or Reverse Engineer: Modify, copy, prepare derivative works of, decompile, or reverse engineer TranspoApp or any included materials/software.
- Remove Proprietary Notices: Remove any copyright or other proprietary notices from TranspoApp or related materials.
- Transfer or Mirror: Transfer TranspoApp or any of its associated materials to another person or “mirror” the materials on any other server.
- Disrupt Services: Use TranspoApp or its services to disrupt our networks or any other service TranspoApp, LLC provides.
- Transmit Unlawful Material: Send or publish harassing, indecent, obscene, fraudulent, or unlawful content via TranspoApp.
- Violate Laws: Use TranspoApp or its services in violation of any applicable laws or regulations.
- Send Spam: Use TranspoApp to send unauthorized advertising or spam.
- Harvest Data: Collect user data without consent.
- Infringe Rights: Use TranspoApp in a way that may infringe the privacy, intellectual property, or other rights of third parties.
13. Liability
13.1 Disclaimer of Warranties
TranspoApp and its materials are provided on an “as is” basis. To the extent permitted by law, TranspoApp, LLC disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13.2 Limitation of Liability
In no event shall TranspoApp, LLC or its suppliers be liable for any consequential, indirect, or incidental damages, including lost profits or data, arising from the use or inability to use TranspoApp or any materials, even if TranspoApp, LLC has been advised of such possibilities. Some jurisdictions do not allow limitations on implied warranties or liability for incidental damages, so these limitations may not apply to you.
14. Accuracy of Materials
The materials appearing in TranspoApp or on our website are not comprehensive and are for general information purposes only. TranspoApp, LLC does not guarantee the accuracy or reliability of these materials and disclaims liability for any errors or omissions to the fullest extent permitted by law.
15. Links to Third-Party Websites
TranspoApp, LLC has not reviewed all sites linked to TranspoApp or its corresponding website and is not responsible for the contents of any linked site. The inclusion of a link does not imply endorsement, approval, or control by TranspoApp, LLC. Use of any linked website is at your own risk.
16. Notice Regarding Apple
If you use or access TranspoApp on an iOS device, you acknowledge and agree to the following:
- These Terms of Service are between you and TranspoApp, LLC only, not with Apple Inc. (“Apple”).
- Apple is not responsible for TranspoApp or any materials in TranspoApp.
- Apple has no obligation to furnish you with any maintenance or support services regarding TranspoApp.
- If TranspoApp fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app.
- Apple is not responsible for addressing any claims relating to TranspoApp, including product liability claims or claims that the app fails to conform to legal or regulatory requirements.
- Apple and its subsidiaries are third-party beneficiaries of these Terms, with the right to enforce them against you upon acceptance.
17. Google Maps Platform API
TranspoApp uses the Google Maps Platform API for location-based features. By using our app, you agree to be bound by Google’s Terms of Service. This agreement is in addition to your agreements with TranspoApp.
18. Right to Terminate and Severability
18.1 Right to Terminate
We may suspend or terminate your TranspoApp account and your right to use TranspoApp immediately upon notice if you breach these Terms or for any lawful reason at our sole discretion.
18.2 Severability
If any term of these Terms is found to be void or unenforceable, it is severed only to the extent of that invalidity. The remainder of the Terms remains valid and enforceable.
19. Force Majeure
TranspoApp, LLC is not liable for any failure or delay in the performance of its obligations resulting from events beyond its reasonable control, including natural disasters, acts of government, terrorism, labor disputes, internet or other network failures, or any similar event.
20. Governing Law
These Terms are governed by the laws of Delaware, U.S.A., except that if you reside in Canada the laws of the Province of Ontario and the federal laws of Canada apply, without regard to conflict-of-laws rules. Any mandatory consumer-protection statutes of your province of residence remain in force.
21. Changes to Terms of Service
We reserve the right to review and amend these Terms of Service at our sole discretion. Upon doing so, we will:
- Update this page with the revised Terms of Service.
- Notify you of significant changes through the app and/or the email address you provided during registration.
- Specify the date the changes take effect.
Your continued use of the Services after such modifications indicates your acceptance of the revised Terms.
22. Dispute Resolution
- Arbitration Agreement: You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of TranspoApp shall be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in court.
- Class Action Waiver: You agree that any claims shall be brought solely on an individual basis and not as a plaintiff or class member in any purported class or representative proceeding.
- For Canadian residents, the arbitration will be administered by ICDR Canada and held virtually or in Toronto, Ontario, unless the parties agree otherwise. Nothing prevents either party from bringing a claim before a provincial small-claims court with jurisdiction.
